Terms of Service

1. Who we are

Visual Sandbox (“Visual Sandbox”, “we”, “us”, “our”) is a pay-per-use AI media platform operated from Ontario, Canada.

Contact: [email protected]. By using Visual Sandbox you agree to these Terms of Service. If you don’t agree, don’t use the service.

2. Eligibility and your account

You must be at least 13 years old to use Visual Sandbox, and old enough to form a binding contract under the law of your province or country. You’re responsible for everything done under your account, for keeping your credentials safe, and for any taxes that apply to you. We may suspend or terminate accounts that violate these terms or the law.

3. The service

Visual Sandbox is a pay-per-use platform that lets you generate images, video, audio, 3D, and vector media using third-party AI models. Models, features, and pricing may change at any time.

4. Licence to use Visual Sandbox

Subject to these terms, we grant you a personal, limited, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use Visual Sandbox. You won’t copy, reverse-engineer, scrape, decompile, resell, or build a competing service from Visual Sandbox. This licence ends automatically if you breach these terms or when your account is closed.

5. Communications

By creating an account you agree to receive transactional email from us — receipts, password resets, security notices, and important service updates. You can’t opt out of these. Marketing email is only sent if you’ve given express consent under Canada’s Anti-Spam Legislation (CASL); you can unsubscribe in one click from any marketing email.

6. Credits, pricing, and taxes

You purchase credits through our payment processor. Credits are consumed when you run a generation. Each generation’s credit cost is shown before you run it.

Prices are listed in U.S. dollars unless stated otherwise. Where required, applicable Canadian taxes (GST/HST/QST/PST) are added at checkout based on your billing address. You’re responsible for any other taxes, duties, or fees that apply to your use of the service.

We may change pricing for future generations at any time. Price changes don’t apply retroactively to credits already spent.

7. Refunds and cancellation

Credits are non-refundable once spent on a successful generation. Unused credit balances can be refunded on request, minus any payment-processor fees, by emailing [email protected].

If a generation fails because of a fault on our side or the third-party provider, the credits are automatically returned to your balance.

Nothing in this section limits your rights under the Ontario Consumer Protection Act, 2002 or any other consumer-protection law that applies to you.

8. Referral program

When a friend you invite signs up with your referral link and makes a top-up of at least $10 in credits in a single transaction, you each receive $5 in Visual Sandbox credits. Your friend’s $5 is added on top of the credits they purchased, so a $10 top-up gives them $15 of credit to spend. The bonus is paid once per invited account, on the first $10+ top-up only — smaller top-ups before or after don’t disqualify your friend, they just don’t trigger the bonus on their own. Auto-reload top-ups also don’t qualify. You can’t refer yourself, and creating extra accounts to claim the bonus is not allowed.

Referral credits are credits, not cash — they aren’t redeemable for money and don’t expire while your account is in good standing. If the referred friend later refunds the qualifying top-up, the referral credits are not automatically reversed; we may reverse them manually if we believe the program has been abused. We may change or end the program, and adjust or claw back credits issued through fraud, self-referral, or duplicate accounts.

9. Your content and license to us

You keep ownership of the prompts and other inputs you submit, and of the media you generate (your “Content”), to the extent the law lets you own AI-generated output.

To run the service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, and display your Content for the purpose of operating, securing, and improving Visual Sandbox. We don’t train AI models on your prompts or outputs, and we don’t sell your Content.

You’re responsible for ensuring you have the right to upload and generate your Content, and that it doesn’t infringe anyone’s rights.

10. AI outputs

AI models can produce outputs that are similar to existing works, that are inaccurate, or that are unsuitable for your purpose. We make no promise that any output is original, fit for a particular purpose, or free from third-party rights. You’re responsible for reviewing outputs before using them, especially commercially.

11. Acceptable use

You won’t use Visual Sandbox to:

  • Generate child sexual abuse material (CSAM) or any content depicting minors in a sexual context.
  • Generate non-consensual sexual content or sexual content depicting real, identifiable people without their consent.
  • Impersonate real people for fraud, defamation, harassment, or election interference.
  • Generate content that promotes hate, violence, terrorism, or self-harm.
  • Break Canadian law (federal or provincial), or the law of any jurisdiction where you or your audience are.
  • Try to break, scrape, reverse-engineer, or overload the service.

We may remove content, disable features, and suspend or terminate accounts that breach this section, and we may report illegal activity to law enforcement.

12. Third-party providers

Generations run on third-party AI inference providers, and the service relies on third-party payment, storage, email, and monitoring providers. Their terms, content policies, and privacy policies also apply to the data they process for you. We pass through their errors, outages, and policy decisions without liability. 13. Service provided “as is”

Except as required by law, Visual Sandbox is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or accuracy of outputs. We don’t guarantee uptime, throughput, or that the service will be error-free. Some provinces don’t allow the exclusion of certain warranties, so parts of this section may not apply to you.

14. Limitation of liability

To the fullest extent permitted by law, Visual Sandbox is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, even if we’ve been told they were possible.

Our total aggregate liability arising out of or related to your use of Visual Sandbox is capped at the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) CAD $100.

Nothing in these terms limits liability that can’t be limited by law, including liability for fraud, gross negligence, or under the Ontario Consumer Protection Act, 2002.

15. Indemnity

You agree to indemnify and hold harmless Visual Sandbox from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your Content, (b) your breach of these terms, (c) your violation of any law, or (d) your violation of a third party’s rights. We may take over the defence of any matter we’re indemnified for, at your cost.

16. Copyright complaints (Notice and Notice)

If you believe content on Visual Sandbox infringes your copyright, send a written notice to [email protected] under sections 41.25–41.27 of the Copyright Act (Canada). Include: your name and contact info, the work you claim is infringed, the location of the alleged infringing material on Visual Sandbox, the date and time of the infringement, and your electronic signature. We’ll forward valid notices to the user responsible and may, at our discretion, remove the content or suspend the account. Repeat infringers will be terminated.

17. Suspension and termination

You can stop using Visual Sandbox at any time and request deletion of your account by emailing [email protected]. We may suspend or terminate your account for breach of these terms, suspected fraud, or risk to the service or other users. Sections that by their nature should survive termination (ownership, licence to us, limitations of liability, indemnity, governing law) will survive.

18. Privacy

Our Privacy Policy explains what we collect and how we use it, in line with the federal Personal Information Protection and Electronic Documents Act (PIPEDA), Canada’s Anti-Spam Legislation (CASL) for transactional and marketing email, and Quebec’s Law 25 where it applies. By using Visual Sandbox you agree to that policy.

19. Changes to these terms

We may update these terms from time to time. If a change is material, we’ll let you know by email or in-app notice before it takes effect. Continuing to use Visual Sandbox after the effective date means you accept the new terms.

20. Governing law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The courts located in Toronto, Ontario have exclusive jurisdiction over any dispute arising out of or related to these terms or your use of Visual Sandbox, except that consumers may bring claims in the courts of the province where they live, where the law allows.

If you’re a Quebec consumer, nothing in these terms waives the protections of the Quebec Consumer Protection Act.

21. Assignment

You can’t assign or transfer these terms or your account, by operation of law or otherwise, without our prior written consent. We can assign or transfer these terms (including in connection with a sale of the business) without your consent. Any assignment in violation of this section is void.

22. No agency, no third-party beneficiaries

Nothing in these terms creates an employment, agency, partnership, joint venture, or franchise relationship between you and Visual Sandbox. These terms don’t create third-party beneficiary rights.

23. Severability and entire agreement

If any part of these terms is held unenforceable, the rest stays in effect. These terms, together with our Privacy Policy, are the entire agreement between you and us about your use of Visual Sandbox.
